Personal Guaranty Agreement(Required)Personal Guaranty Agreement By checking the “I Agree” box the undersigned acknowledges and agrees to the terms of this Guarantee Agreement (“Guaranty”) between the undersigned (“Guarantor”) and Climate Solutions Windows & Doors, Inc. (“Climate”). For purposes of this agreement, Climate Solutions Windows & Doors, Inc. and Guarantor may each be referred to as a “Party,” and collectively as the “Parties.” The Guarantor further acknowledges and agrees that by selecting the “I Agree” button, this action constitutes a legally binding electronic signature. The Guarantor consents to the use of electronic records and signatures under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and applicable state laws. The electronic signature shall have the same validity and effect as a handwritten signature and confirms the Guarantor’s intention to be legally bound by the terms of this Guaranty. In order to induce Climate to manufacture certain products for and/or provide a line of credit to (“Company”) for the manufacturing of certain products, Guarantor, does hereby absolutely and unconditionally guarantee (i) the full performance and observance of all the covenants, conditions and agreements provided to be performed and observed by Company, including, without limitation, the prompt payment of all amounts to be paid by Company for the manufacturing of products requested from Climate, Inc. and (ii) the payment of all costs, including attorneys’ fees and court cost, incurred by Climate in the collection of all unpaid sums due by Contractor or Company. The Guarantor agrees to pay all costs, legal expenses and attorneys’ and paralegals’ fees of every kind, paid or incurred by the Climate in endeavoring to collect any sum which may become due hereunder or under any agreement with Company, or in enforcing its rights in connection herewith or the collection of sums due and owing to Climate by Company. This Guaranty shall in all respects be continuing, absolute and unconditional, and shall remain in full force and effect with respect to the Guarantor until any and all debt created or existing or sums due Climate from Company shall have been fully paid. It is agreed that the failure of Climate to insist in any one or more instances upon strict performance or observance of any of the terms, provisions or covenants of any agreement between Climate and Company or to exercise any right therein contained shall not be construed or deemed to be a waiver or relinquishment for the future of such term, provisions, covenant or right, but the same shall continue and remain in full force and effect. This Guaranty shall be governed by the laws of the State of Illinois without reference to conflict of law principles of that State. Guarantor hereby submits to jurisdiction in the State of Illinois for the enforcement of this Guaranty and waives any and all rights to object to such jurisdiction for the purposes of litigation to enforce this Guaranty. The Guarantor hereby consents to the jurisdiction of any Circuit Court of Cook County for the First District of Illinois, Illinois, in any action, suit or proceeding which Climate may wish to file at any time in connection with this Guaranty or any related matter. WAIVER OF TRIAL BY JURY. GUARANTOR, TO THE FULLEST EXTENT THAT HE OR SHE MAY LAWFULLY DO SO, HEREBY WAIVES TRIAL BY JURY IN ANY ACTION OR PROCEEDING BROUGHT BY CLIMATE WITH RESPECT TO THIS GUARANTY OR ANY OTHER MATTER RELATED TO THIS GUARANTY OR THE PAYMENT OF ALL SUMS DUE TO CLIMATE FROM COMPANY. The provisions contained in this Guaranty shall be construed as an agreement independent of any other provision in this Guaranty. If any sentence, paragraph, clause or combination of the same of this Contract is in violation of the law of State of Illinois, such sentence, paragraph, clause or combination of the same shall be void and the remainder of such paragraph and this Guaranty shall remain binding on the parties to the extent that it may be lawfully done under existing applicable laws.
